I installed the latest driver and enabled acceleration (which finally works) but mplayer is lagging so much...
I have a Core2 2.0Ghz
3Gb of ram
Intel 4500HMD (GM45) graphics card
it's a laptop (Dell E5400)
I enabled some power saving stuff but it was like this before those tweaks, so i think they're not related..

On my laptop with GMA 950 I'm using some specific port with xv for enhanced playback (-vo xv:port=xx or something like that, can't check right now). It might be also helpful on 4500, but I don't really remember how I found the port to use.

For the longest time I had mplayer looking great (no vsync/tearing issues) by adding this line to my ~/.mplayer/config file:
vo = "xv:port=104"
or you can try it at the command-line:
mplayer -vo xv:port=104
Unfortunately, after the recent Xorg and intel driver updates, I get tearing with both the xv and x11 drivers in mplayer no matter what I try. Using the gl driver seemed to work first, but it can't handle high-def videos (they play really slowly, which was never an issue when I used xv:port=104 before). Also, I've had other videos crash my entire X session while using the gl driver mode. Maybe one of them will work for you though, its worth a shot.
When you say "lagging", what do you mean exactly?
