Hello,
Not sure which of the kernel and VirtualBox upgrade caused the problem, but after upgrading to the following:
kernel26-2.6.37.5-1 -> kernel26-2.6.38.2-1
kernel26-headers-2.6.37.5-1 -> kernel26-headers-2.6.38.2-1
virtualbox-4.0.4-2 -> virtualbox-4.0.4-3
VirtualBox stopped working.
I have run /etc/rc.d/vboxdrv setup
No error message is seen in /var/log/vbox-install.log
# modprobe vboxnetftl
FATAL: Module vboxnetftl not found.
# grep vboxnetftl /var/log/vbox-install.log
=> no output
Anyone else having this issue? Any solution?

reboot and then /etc/rc.d/vboxdrv setup
Give what you have. To someone, it may be better than you dare to think.

Rebooting a second time solved the problem, I didn't have to run "/etc/rc.d/vboxdrv setup" again though...
