I have 2 ethernet cards. One for inet (eth0), and one to share the inet connection with my lan (eth1). Eth0 works perfectly(8139too), but eht1(tulip), after a while dissapears, with the problem that the other PCs in my house lose internet. Ifconfig tells me my eth1 does not exist. I have to do a /etc/rc.d/network restart, to get it working again. In windows I don't have this problem.

Check dmesg and dig through /var/log to find out what exactly is happening when eth1 is disappearing. Other than that I would have no idea ;-)

This is the only thing I could found about eth1.
I don't know how to fix it.

This part about some router (I suspect) sending that invalid ICMP is somewhat a know problem. I had that before, too. There is some flag in /proc/.... which can be changed so that the kernel ignores it. Check google.
I'm not sure the "NETDEV WATCHDOG: eth1: transmit timed out" messages are related, but don't sound good. However, the "eth1: 21140 transmit timed out, status ... resetting" messgae sounds the one I would hunt first. I don't have experience with the tulip driver (although I hear these DEC chips are decent chips), but maybe there are some config options for that driver ?!?

I think I'll do a cron job to make /etc/rc.d/network restart, cause looking in google I found many people with the same problem, an none with the solution. it seems it's a bug in the tulip module.
