Best VM Ware Server OS

Want to change my server structure currently running Arch.  Rolling release is not the best when running a lamp server.  I want to run the new setup in a virtual machine for obvious advantages.  But was wondering what others have found best as there Host OS, and also while at it, what they prefer as a guest?

My server specs are quite low so no gui on the host and guest preferable

1300MHZ
256MB Ram (I think, could be less)
10Gig and 30 Gig hd

Services to be run

LAMP
NFS
SAMBA
RSYNC
FTP
SSH

and possibly this time round

DHCP
DNS
LDAP

To be honest you're looking for a distribution like either Debian (Stable) or Redhat/SuSE that aren't bleeding edge.

My professional opinion would be that Redhat is the best choice.

My personal opinion is that I'd go for Debian as Redhat does not provide everything for free which basically makes it as "current" as Debian.

Well was looking at CentOS as a red hat solution, but never have been keen on rpm distros for some reason.  Also how long does Debian Stable recieve updates for, and can apt upgrade from one to the next easily?
